These Terms & Conditions (“Terms”) govern your access to and use of MessengerNepal’s bulk messaging platform, web dashboard, APIs, and related services (“Services”). By creating an account, accepting these Terms, or using the Services, you agree to be bound by these Terms.
MessengerNepal operates in Nepal and works with licensed telecom operators and partners. You must use the Services in compliance with applicable laws, Nepal Telecommunications Authority (NTA) rules/directives, and telecom operator requirements.
1. Eligibility & Authority
- You must be legally capable of entering into this agreement. If you use the Services for a company or organization, you represent you have authority to bind that entity.
- We may request KYC/verification documents and may restrict features until verified.
2. Service Description
MessengerNepal provides tools to create contact lists, build message templates, send bulk and transactional messages (including OTP), view delivery reports, and manage Sender IDs and templates. SMS delivery depends on telecom operator networks and may be filtered or blocked for compliance and anti-spam reasons.
3. Customer Responsibilities
- You are responsible for your message content, recipient selection, consent collection, and compliance with laws and telecom rules.
- You must maintain accurate sender information, campaign details, and required approvals (e.g., OTP templates, Sender ID approvals).
- You must implement and honor opt-out mechanisms where required by law/operator policy.
4. Consent, Opt‑Out & Anti‑Spam
- You must only message recipients who have provided valid consent or another lawful basis (as applicable to your use case).
- You must not send spam, deceptive messages, phishing, or content that is illegal, harmful, obscene, defamatory, or otherwise prohibited.
- We may block or suspend messaging that appears to violate consent rules, content restrictions, or fair usage policies.
5. OTP & Authentication Messaging
- OTP/verification messages may require pre-approved templates and specific prefixes/formatting as per operator/NTA requirements.
- If OTP rules change, you are responsible for updating templates and your systems. Non-compliant OTP may be blocked automatically.
6. Sender IDs
- Sender IDs are subject to approval by telecom operators and/or administrators and may be rejected, modified, or revoked due to policy or regulatory requirements.
- You must not misrepresent identity, impersonate others, or use Sender IDs to bypass filtering, consent, or policy restrictions.
7. Account Security
- You are responsible for keeping credentials, API keys, and tokens secure.
- You must promptly notify us of suspected unauthorized access. You are responsible for all activity under your account until reported.
8. Billing, Credits & Refunds
- Services are generally prepaid (credit-based) unless we agree otherwise in writing.
- Credits may be deducted at submission/processing time regardless of final delivery status depending on network/operator behavior.
- Payments are non-refundable except where required by law or for verified billing errors at our sole discretion.
9. Suspension & Termination
- We may suspend or terminate accounts for suspected fraud, spam, policy violations, security risks, or regulatory/operator requests.
- You may terminate by contacting support, subject to outstanding obligations and verification.
10. Availability & Maintenance
The Services may be unavailable due to maintenance, upgrades, telecom/network issues, or events beyond our control. We do not guarantee uninterrupted availability or delivery timelines.
11. Privacy
Our handling of personal data is described in the Privacy Policy. By using the Services, you agree to our data practices as described there.
12. Disclaimers
The Services are provided on an “as is” and “as available” basis. Telecom operator filtering, delivery delays, outages, and regulatory restrictions may affect results.
13. Limitation of Liability
To the fullest extent permitted by law, MessengerNepal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business arising from use of the Services.
14. Indemnity
You agree to indemnify and hold MessengerNepal harmless from claims, penalties, losses, and costs arising out of your messages, content, consent practices, or violation of law/operator policy.
15. Changes to Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of Nepal. Disputes shall be subject to the jurisdiction of the competent courts of Nepal.
